“Crown jewels” are alternative commitments that must be considered in the event of uncertainty as to the transferability, viability or competitiveness of the asset proposed for divestiture. This is the case in particular when the commitment to divest a manufacturing activity is not such as to render the merger compatible with the internal market insofar as, for practical and commercial reasons, the new entity would not be viable.
